Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Talkin Technologies, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. SaaS Subscriptions (Sacco, School, Hospital Systems)

For our Software-as-a-Service (SaaS) products:

• License: You are granted a non-exclusive, non-transferable, revocable license to use the software. You do NOT own the source code.
• Payments: Subscription fees are billed monthly or annually in advance via M-Pesa or Bank Transfer.
• Non-Payment: We reserve the right to suspend access to the service if payments are more than 14 days overdue.

3. Custom Software Development

For custom engineering projects (e.g., Taxi Apps, Custom ERPs):

• Ownership: Upon full payment of the agreed fees, the Intellectual Property (IP) and Source Code rights will be transferred to the Client, unless stated otherwise in the specific project contract.
• Payment Schedule: Typically 40% deposit, 30% upon beta delivery, and 30% upon go-live sign-off.

4. Limitation of Liability

In no event shall Talkin Technologies, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

5. Governing Law

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

6. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect.
